- MVC Capital Transaction
Our office assisted MVC Capital, Inc., a provider of long-term debt and equity investment capital to fund growth, acquisitions and recapitalizations of companies, in its investment in Fima, a Lithuanian-based systems integrator. MVC Capital, a Business Development Company traded on the New York Stock Exchange, has made a 28,1 million USD equity investment in Fima. Our work included running a due diligence, preparation of transaction documents and assistance in negotiations. The project was led by firm’s partner Žilvinas Kvietkus, with assistance of managing associate Ruslanas Bronikovas and assistant attorney at law Ieva Dosinaitė. - SURVEY: Problems of Delivery of Procedural Documents in Lithuania
Raidla Lejins & Norcous is carrying out a survey “Problems of Delivery of Procedural Documents in Lithuania” aimed at identifying the strong and week points of delivery of procedural documents as well as other related problems in delivery procedure and possible ways of their solution. The results of the survey will be presented at the conference “Delivery of Procedural Documents: Overcoming Today’s Challenges” to be held by Raidla Lejins & Norcous together with the Ministry of Justice of the Republic of Lithuania on 23 October 2008.

Raidla Lejins & Norcous acted as exclusive advisor to MG Valda and Ormina in the sale of a modern logistic centre in Vilnius of the total area of approx. 30 000 sq. m. Our work included real estate vendor’s due diligence, preparation of transaction documents, representation in negotiations and assistance with execution of the transaction of a value of 78 million Litas. The project was led by firm’s managing associate Skirmantė Klumbytė.

- Who‘s Who in M&A
The global law researcher Who‘s Who Legal published its most recent directory of leading law professionals in the field of M&A. In “The International Who’s Who of Merger & Acquisition Lawyers 2008” firm’s partners Dr. Irmantas Norkus (Vilnius), Girts Lejins (Latvia), Juri Raidla and Raino Paron (Estonia) are recommended as leading practitioners in the field. The directory is based on the opinions of law firm clients and M&A lawyers from around the world.
Also Who‘s Who Legal announced the results of Who’s Who Legal Law Firm of the Year: Finland award for 2008 wherein our partners Roschier has won for the third consecutive year. The Who’s Who Legal country awards are given to outstanding law firms in 50 countries and five US states based on nominations by clients and peers. - Kraft Foods Acquisition
Along with partners in RoschierRaidla alliance we assisted FEPCO 1 AS, a company owned by the Norwegian investment fund Herkules Private Equity Fund, with the acquisition of Kraft Foods Nordic and Baltic snacks operations. The transaction involved Kraft Foods’ Estrella and Maarud brands in Sweden, Norway, Finland, Denmark, Estonia, Latvia and Lithuania, as well as the Taffel Chips brand in Denmark. Our work included due diligence of the Lithuanian operations, led by managing associate Skirmantė Klumbytė, and review of transaction documents, handled by associate Juozas Rimas.

- Sale of Norby Networks
We have assisted Martinson Trigon, an international investment fund, with a sale of 100 percent of shares in UAB Norby Networks to UAB Baltnetos komunikacijos, a major player on the Lithuanian internet communications market. Norby Networks is a spin-off company of UAB MicroLink Lietuva (rebranded as Hostex) providing internet, data communication, IT outsourcing and fixed telephony services. Our work included running of the vendor’s due diligence room, preparation of transaction documents and assistance in negotiations. The project was led by associate lawyer Juozas Rimas. - PharmaSwiss Acquisition
We have advised Enterprise Investors (EI), one of the largest private equity firms in Central and Eastern Europe, in its investment in PharmaSwiss SA, the largest third party pharma sales and marketing outsourcing company in the Central and Eastern European region. Our lawyers have conducted the due diligence review of the Lithuanian operations of PharmaSwiss and provided advice on Lithuanian law to Baer & Karrer, EI’s main legal advisors in the €35 million transaction. The project was led by associate lawyer Juozas Rimas.
- Telecoms & Media 2008
Raidla Lejins & Norcous contributed a Lithuanian chapter to “Telecoms and Media 2008: an overview of regulation in 52 jurisdictions worldwide”, published by “Law Business Research Ltd”. Žilvinas Kvietkus and Rita Barasnevičiūtė provided a comprehensive overview of telecommunications and media in Lithuania, comprising legal regulation of fixed, mobile and satellite services, aspects of various broadcasting sectors licensing, content and advertising restrictions, as well as competition law aspects in broadcasting and telecoms sectors.

- Armila Acquisition
Our office assisted a leading German pharmaceutical wholesaler ANZAG with the acquisition of a 92-per-cent stake in the Lithuanian pharmaceutical wholesaler Armila. With a market share of 13 per cent, Armila is one of the largest pharmaceutical wholesalers in Lithuania. ANZAG is listed in the Frankfurt Stock Exchange and has the most extensive distribution network in Germany. Our team was lead by a partner Zilvinas Kvietkus.

- Real Estate Conference
Raidla Lejins & Norcous acted as a co-host of an annual real estate conference „Real Estate in the Seaside Region 2008“, intended to review territory planning, State’s protected territories protection problems as well as real estate investment and development opportunities in the seaside region.
