RLN Advised on One of the First Large Real Estate Transactions Since the Beginning of Market Downturn
Raidla Lejins & Norcous acted as an exclusive advisor to the shareholders of UAB Nekilnojamojo turto gama, UAB NT Panorama and UAB Stelita in one of the first large real estate transactions in the market after almost two years of stagnation. The transaction included sale of controlling stake in the companies to the subsidiary of one of the leading Lithuanian banks as well as arranging new bank financing package.

The target companies own one of the largest modern office centres in Lithuania Vilnius Business Harbor located in the heart of Vilnius as well as several sites for the high-rise construction in the prestigious locations near Vilnius Business Harbor.

Services of Raidla Lejins & Norcous included preparation of transaction documents, representation in negotiations and assistance with execution of the transaction as well as the advice on corporate, contractual, real estate, competition and tax law matters. The transaction was led by partner Aušra Mudėnaitė and senior associate Olga Petroševičienė.

Bloomberg: Raidla Lejins & Norcous law firm alliance – fifth in Eastern Europe
According to data announced by Bloomberg news agency in July 2010, Raidla Lejins & Norcous law firm alliance operating in the three Baltic States is the fifth in terms of the number of advised M&A deals in Eastern Europe. Raidla Lejins & Norcous is the only law firm operating in Lithuania that made it to the top five list along with other leading law firms in Eastern Europe.

RLN Assisted Mediq in Acquiring Oriola-KD Healthcare Trade Business
Raidla Lejins & Norcous Vilnius office acted as a legal counsel to Mediq, an international provider of pharmaceuticals and medical devices, in acquisition of the Lithuanian subsidiary of the Oriola-KD Healthcare Trade business for the price of EUR 85 m.

By taking over the Oriola-KD Healthcare Trade business, Mediq becomes the largest provider of medical devices to hospitals and other health care institutions in Finland, Sweden, Denmark, Norway and the Baltic states.
In cooperation with the lead counsel, Danish law firm Rønne & Lundgren, Raidla Lejins & Norcous’ responsibilities included legal due diligence, drafting and commenting transactions documents and advice on Lithuanian corporate, contract and tax law aspects of the acquisition.

In Lithuania the transaction was led by partner Žilvinas Kvietkus and senior asociate Akvilė Bosaitė. Raidla Lejins & Norcous Riga and Tallinn offices acted as Estonian and Latvian local counsels to Mediq, respectively.

RLN Participated in Acquisition of Controlling Stake of UAB Baltic Food Company
Raidla Lejins & Norcous Vilnius office assisted international food company Vestey Foods Group Ltd in acquiring the controlling stake of the local meat processing company UAB Baltic Food Company and taking over the loans from the existing shareholders.

Vestey Foods Group Ltd is a group of thirteen food companies, specialising in the import, storage and distribution of a wide variety of foodstuffs, acting in Asia and Europe.

Our responsibilities included legal due diligence, preparation and negotiation of transaction and corporate documents. The project was led by senior associate Akvilė Bosaitė.

RLN advised on merger deal of large pharmacy companies
We have advised Central European Pharmaceutical Distribution (CEPD) N.V., the division of one of the biggest Polish pharmaceutical distribution company’s Polska Grupa Farmaceutyczna (PGF) in exercise of the Put Option agreement with the Lithuanian shareholder regarding acquisition of remaining ca. 49% of shares in UAB Nacionalinė farmacijos grupė. The value of the transaction is close to EUR 24.5 million. As a result of the transaction CEPD now owns 100% of shares of the holding company UAB Nacionalinė farmacijos grupė, the latter being the sole shareholder of a leading pharmaceutical distributor UAB Limedika and pharmacy chain UAB Gintarinė vaistinė. The project was led by partner Žilvinas Kvietkus.

RLN hosted a non-traditional event Business gourmets 2010
Law Offices Raidla Lejins & Norcous together with communication agency VRP | Hill&Knowlton, investment bank GILD bankers, research company Social information centre and NASDAQ OMX Vilnius initiated non-traditional event Business gourmets 2010 (Verslo gurmanai 2010), held on 18 June in terrace of Green Hall business centre. During the event Lithuanian enterprises and institutions were awarded for courage, creativity and unconventional approach to business.

Raidla Lejins & Norcous contributed to organising the visit of Prime Minister of Lithuania to Stockholm
Raidla Lejins & Norcous in cooperation with SEB Enskilda, AB Swedbank and Nasdaq OMX Baltic contributed to organising the meetings of Prime Minister Andrius Kubilius with the Swedish leading industrial companies, including Tele2, Recipharm, TeliaSonera, Scania, Astra Zeneca, etc.

The prime minister discussed possible investments with the representative of the companies in the meeting on economic diplomacy and search for investments in Stockholm on 9 June. RLN offered counsel on the companies recommended for the meetings and thus contributed to successful implementation of the visit. Mr. Andrius Kubilaus also met Fredrik Reinfeldt, the prime minister of Sweden, and discussed the situation in the euro zone and regional energy demands.

As of 2004 one of the largest Baltic law firms Raidla Lejins & Norcous and the leading law firm Roschier with offices in Helsinki and Stockholm have entered into a Nordic-Baltic alliance RoschierRaidla.

Akvile Bosaite, senior associate at Raidla Lejins & Norcous, specializing in mergers & acquisitions, capital markets and finance law was seconded to the leading Finnish law firm Roschier to gain experience in 2-month training courses.

During the secondment Akvile was involved in several big projects which allowed her to improve her legal skills, get acknowledged with Scandinavian work culture, quality and project management issues and gain best-practice experience of the leading Finnish law firm.

RLN Participated in the Largest in Europe IPO since 2007 by PZU SA
Law firm Raidla Lejins & Norcous assisted the leading of Eastern and Central Europe insurance company PZU SA with conducting a legal due diligence of PZU affiliate companies operating in Lithuania and in delivering legal opinions to the banks responsible for consortium of the initial public offering.

According to Bloomberg, PZU SA’s IPO published on 12 May 2010 was the biggest in Poland since the Warsaw bourse was created in 1991 and the largest in Europe since 2007. After a successful initial public offering of PZU SA shares, investors bid for nine times more shares than were offered, and the company surged 15 percent, valuing the state-controlled insurance company at 31 billion zloty ($9.9 billion).

PZU’s offering is part of the government’s program to raise a record $10 billion from asset sales this year to help finance the budget deficit.

Successful Completion of the First Young Lawyers Mentoring Project
On 14 May, the Ministry of Justice hosted a ceremony to honour the closing of the young lawyers educational project Mentoring for Young Lawyers. The knowledge-sharing project was for the first time organised by Mykolas Romeris University Law Faculty’s Alumni Association. Law Office Raidla Lejins & Norcous was the main supporter of the project.
