Raidla Lejins & Norcous Law Offices – Last Year’s Leader in the Baltics
According to data announced at the end of March 2010 by financial markets monitoring agency ISI DealWatch, Raidla Lejins & Norcous gained the lead on M&A deals among the law firms in the Baltics in 2009. ISI Deal Watch analysis shows that in 2009 Raidla Lejins & Norcous advised in deals worth over LTL 2 billion (USD 784 million) in total.

Real Estate Acquisition
Raidla Lejins & Norcous assisted Lithuanian real estate developer with the acquisition of the real estate portfolio consisting of several commercial properties in prime locations of Vilnius Old Town and 27 hectares area in Vilnius which is designated for urbanization. Raidla Lejins & Norcous’ lawyers were responsible for negotiations on the portfolio financing issues, performance of the due diligence and preparation of acquisition documentation. The project was led by partner Aušra Mudėnaitė and senior associate Olga Petroševičienė.

European Energy Review 2010
Raidla Lejins & Norcous contributed a Lithuanian chapter to a special edition of European Energy Review 2010, published by Herbert Smith. This review focuses entirely on the Third Energy Package and the Climate Change Package, which were adopted by the European Parliament and Council in 2009. In each national chapter, the authors analyse an impact these two legislative packages will have on gas and power sectors in jurisdictions across Europe. Our firm’s associate Ruslanas Černiauskas and senior associate Juozas Rimas delivered an overview – Implementing the Third Energy Package and the Climate Change Package in Lithuania.

Acquisition of Alexela’s Lithuanian Operations
We are acting as a legal counsel to Neste in the acquisition of 100 percent of shares in UAB Alexela Oil, the operator of Alexela fuel stations in Lithuania. Our responsibilities include due diligence, preparation and negotiation of transaction documents. The project is lead by the managing partner Irmantas Norkus and senior associate Juozas Rimas.

Raidla Lejins & Norcous Partner Toomas Vaher Elected Chairman of Estonian Bar Association
The head of dispute resolution at Raidla Lejins & Norcous in Estonia has been elected chairman of the Estonian Bar Association. Toomas Vaher was voted in on 4 March for a three-year term. The Estonian Bar Association was established in 1919 and has currently a total of 696 members.

Seminar on Investment
On 4 March Raidla Lejins & Norcous together with the investment bank Evli held a seminar Investment Opportunities and Alternatives in 2010. The participants of the seminar were introduced to the situation in global markets, new investment ideas, M&A market situation and tendencies in 2010. Presentations were delivered by Evli’s Chief Investment Officer Kim Pessala, Raidla Lejins & Norcous’ Managing Partner Dr. Irmantas Norkus. Deividas Matulionis, Chancellor of Prime Minister of the Republic of Lithuania, presented the state and municipal property privatization plans and other investment opportunities.

Advising on the first Baltic IPO during Economic Downturn
We advised AB Linas Agro Group on the initial public offering (IPO) of shares with the aggregate value of LTL 100 million. Linas Agro Group is one of the largest agricultural business groups in the Baltic countries, producing and marketing agricultural products, feedstuffs and agricultural supplies. AB Linas Agro Group is the first issuer to enter the Main List of NASDAQ OMX Vilnius during the last two years. The transaction signalled a return of investors to the Baltic capital markets after recent economic downturn. Our firm was responsible for the due diligence of the group, preparation of the prospectus, coordination of the transaction with competent authorities and other extensive legal advice to the issuer and its shareholders. The project was led by the managing partner Dr. Irmantas Norkus and senior associates Akvilė Bosaitė and Eva Suduiko.
